DOWNING You will receive an encoded MP3 file and/or a copy of the raw WAV file of the song/beat(s) titled_____________________ composed by Michael T. Downing (Hereinafter known as the producer) for a lease rate of $20.00, good for up to 500 commercial recordings (digital and/or hardcopies) or a year or whichever comes first. The song/beat(s) file can be delivered digitally or through the mail on a CD. Leasing rights allow you to use the song/beat(s) for ONE commercial recording or broadcast, such as, one song and/or jingle, written by the client, using song/beat(s) mentioned in this agreement. This recording can then be distributed at your price for up to 500 copies for one year. Selling more than 500 copies means you must acquire a new lease of said song/beat(s), even if client has not reached the ending date of the agreement. You may also use the beat for non-profit promotional use or demos for 1year, beginning at the date this contract is signed. You have full rights to record and mix your vocals over the beat/song(s) in any shape, way, or form, but you cannot re-mix, re-lease, loan or sale any instrumental versions of the song/beat(s), mentioned in this agreement, without full written and verbal consent of the producer. This agreement is granting you non-exclusive rights to the said song/beat(s) mention in this agreement. In the event that someone also leases rights to the song/beat(s) you have leased, your rights shall stand and the beat is still yours to use under the terms of this contract. You may also acquire new leasing rights within the year term of signing this agreement, if you wish to extend the year term of this agreement. The client may also reserve exclusive leasing rights to said song/beat(s) for one year, at a additional fee of $30.00 per song/beat(s) leased( provided the song/beat is not previously reserved by another client), this will restrict other clients from using said song/beat(s) for one year until the end date of this agreement (this does not restrict any instrumental versions of said song/beat(s) previously and or currently published by the producer and the producer may still publish and/or sale instrumental versions of song/beat(s) as singles or a part of a cd/album, online or otherwise, without any restrictions). The producer will not receive a royalty from the sale of records or downloads. You must however give full credit to the producer on all commercial recordings. Upon purchasing leasing rights, the producer still owns the song/beat(s) and reserves the right to lease the song/beat(s) to any other party unconditionally unless client agrees to the one year song/beat(s) reserve option mentioned above. Client agrees to report all transactions involving said song/beat(s) to the producer for the term of the contract. This agreement is not final until all fees mentioned are paid in full.
