LEASING/NON-EXCLUSIVE LICENSE

The recording, making and distribution of and with the composition described in this NON-EXCLUSIVE LICENSE AGREEMENT to be made and distributed in the United States (Up to and not exceeding 1000 units), its territories and possessions, in accordance with the provisions of Section 115 of the Copyright Act of the United States of America of October 19, 1976, as amended (ACT), except it is agreed that this license is limited to the particular recording and use of the COMPOSITION herein described and shall not include any other recording or form of recorded sound. This license also includes the recording, making, and distribution of and with the COMPOSITION described in this license throughout the universe, insofar that LICENSEE indemnifies and holds harmless LICENSOR from and against all third party claims, damages, liabilities, costs and expenses, including legal expenses and reasonable counsel fees, arising out of any alleged breach of national or international laws, treaties, or other policies as a result of using said COMPOSITION.
This license includes the privilege of making a musical arrangement of the COMPOSITION to the extent necessary to conform it to the style or manner of interpretation of the performance involved, but the arrangement made (I) may not change the basic melody or fundamental character of the COMPOSITION and (II) shall not be subject to protection under the ACT by LICENSEE as a derivative work.
This license provides LICENSEE agrees to accord LICENSOR a credit in liner notes and where other similar credits are listed. Credit shall be accorded in this form: "Produced by Marvelous One"
This license is personal, non-licensable and non-assignable, except by LICENSOR. LICENSEE need not serve or file the notices required under the ACT. This COMPOSITION may remain on the official website as an example of material being produced.
THIS LICENSE SHALL BECOME EFFECT ONLY AFTER THE TRANSACTION DESCRIBED ABOVE HAS BEEN COMPLETED BY LICENSEE AND RECEIVED BY LICENSOR.
THIS LICENSE SHALL BECOME EFFECTIVE ONLY AFTER IT HAS BEEN SIGNED BY LICENSEE AND ACCEPTED BY LICENSOR, AND ITS EFFECTIVE DATE SHALL BE THE DATE ON WHICH IT IS SIGNED BY LICENSOR.
